- GENERAL
- GOVERNING LAW AND JURISDICTION
This agreement and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with it or its subject matter or formation shall be governed by and construed in accordance with the law of England and Wales. Each party irrevocably agrees that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with this agreement or its subject matter or formation.

- THIRD PARTY RIGHTS
This agreement does not give rise to any rights under the Contracts (Rights of Third Parties) Act 1999 to enforce any term of this agreement.

- WAIVER
No party to this agreement may rely on the words or conduct of any other party as a waiver of any right unless the waiver is in writing and signed by the party granting the waiver.

- SEVERANCE
Any term of this agreement which is wholly or partially void or unenforceable is severed to the extent that it is void or unenforceable. The validity and enforceability of the remainder of this agreement is not limited or otherwise affected.

- JOINT AND SEVERAL LIABILITY
An obligation or a liability assumed by, or a right conferred on, two or more persons binds or benefits them jointly and severally.

- ASSIGNMENT
A party cannot assign, novate or otherwise transfer any of its rights or obligations under this agreement without the prior written consent of the other party.

- ENTIRE AGREEMENT
This agreement embodies the entire agreement between the parties and supersedes any prior negotiation, conduct, arrangement, understanding or agreement, express or implied, in relation to the subject matter of this agreement.

- INTERPRETATION

- (singular and plural) words in the singular includes the plural (and vice versa);
- (gender) words indicating a gender includes the corresponding words of any other gender;
- (defined terms) if a word or phrase is given a defined meaning, any other part of speech or grammatical form of that word or phrase has a corresponding meaning;
- (person) a reference to “person” or “you” includes an individual, the estate of an individual, a corporation, an authority, an association, consortium or joint venture (whether incorporated or unincorporated), a partnership, a trust and any other entity;
- (party) a reference to a party includes that party’s executors, administrators, successors and permitted assigns, including persons taking by way of novation and, in the case of a trustee, includes any substituted or additional trustee;
- (this agreement) a reference to a party, clause, paragraph, schedule, exhibit, attachment or annexure is a reference to a party, clause, paragraph, schedule, exhibit, attachment or annexure to or of these Terms (this agreement), and a reference to this agreement includes all schedules, exhibits, attachments and annexures to it;
- (document) a reference to a document (including these Terms) is to that document as varied, novated, ratified or replaced from time to time;
- (headings) headings and words in bold type are for convenience only and do not affect interpretation;
- (includes) the word “includes” and similar words in any form is not a word of limitation;
- (adverse interpretation) no provision of this agreement will be interpreted adversely to a party because that party was responsible for the preparation of this agreement or that provision; and
- (currency) a reference to £, or “pounds”, is to Pound Sterling currency, unless otherwise agreed in writing.
- SUBMITTING AN ENTRY

- All entries must be in English and must be received prior to the closing of the relevant Competition Period.
- Our Competitions have both a free and paid entry route. To submit a “Valid Entry” must either:
- Paid Entry Route: Submit your entry using the functionality the Website, answer the Competition Question (if applicable) and pay the applicable entry fee as set out in the Competition Details (Entry Fee); or
- Free Entry Route: Submit your entry by first or second class post to the Promoter at the following address: The Liverpool Film Studios, 105 Boundary Street, Liverpool, United Kingdom, L5 9YJ (Promoter Address) with the following information:
- the name or details of the Competition you wish to enter;
- your full name;
- your residential address;
- a contact telephone number and email address (which must be the same email address used to create your Account); and
- your answer to the Competition Question (if applicable).
- Please note that whilst the free entry route is at no additional cost to you to enter, you will be responsible for payment of the postage (at ordinary first or second class rates) to the Promoter Address. Hand delivered entries will not be accepted.
- Once the Eligible Entrant has submitted a Valid Entry in accordance with clause 4(b) the entry will be taken to have been officially accepted by the Promoter as a valid entry. Once an entry has been accepted, no changes to or withdrawal of the entry will be permitted.
- The use of script, macro or any automated system to enter the Competition is prohibited and entries made (or which appear to have been made) using any such system may be treated as void. Any illegible, incomplete or fraudulent entries will be rejected.
- We reserve the right to set a maximum number of entries which may be submitted to the Competition (Maximum Participants). Where we set a Maximum Participants, this will be stated in the Competition Details. If the number of Valid Entries received by the Promoter reaches the Maximum Participants, any subsequent Valid Entries you submit may be excluded.
- Subject to clauses 4(f) and 4(g), Eligible Entrants may submit as many Valid Entries as they wish during the Competition Period.
- Bulk entries (being multiple Valid Entries received at once, for example in the same posted entry) shall be treated as a single entry.
- We reserve the right to reject any entries which do not comply with these terms, including excluding any entries by entrants who have not complied with these terms. We are not responsible for any entries which are not Valid Entries or which are disqualified, lost or delayed (including as a result of any errors in the Website of any kind).

- EligibilityThe competition is only open to all residents in the United Kingdom aged 18 years or over, except:(a) employees of the Promoter;
(b) employees of agents or suppliers of the Promoter, who are professionally connected with the competition or its administration; or
(c) members of the immediate families or households of (a) and (b) above.
5.2 By entering the competition, you confirm that you are eligible to do so and eligible to claim any prize you may win. The Promoter may require you to provide proof that you are eligible to enter the competition and claim the prize. If you fail to provide the Promoter with any such proof or other information that they may require within a reasonable time, you may be disqualified from the competition.
5.3 The Promoter will not accept competition entries that are:
(a) automatically generated by computer; or
(b) incomplete.
5.4 The Promoter reserves all rights to disqualify you if your conduct is contrary to the spirit or intention of the prize competition. This includes if you are rude or abusive to the Promoter or anyone associated with them.
5.5 Subject to clause 11.3 below, no refunds of the entry fee will be given in any event, including;
(a) if, following your entry into the competition, you subsequently find out that you are not eligible to enter the competition or claim the Prize;
(b) if, following your entry into the competition the eligibility criteria for entering the competition or claiming the Prize changes and you are no longer eligible; or
(c) if you are disqualified from the competition by the Promoter for any reason.
5.6 If the Entrant engages in:
(a) any form of fraud (actual or apparent);
(b) fraudulent misrepresentation;
(c) fraudulent concealment;
(d) hacking or interference with the proper functioning of the Website; or
(e) amending, or unauthorised use of, any of the code that constitutes the website
all of their entries will be declared void, no refunds will be given and they may be prevented from participating in any future competitions
